ZipBook Terms and Conditions
Important platform disclaimer. ZipBook is a technology platform and software service. ZipBook does not own, operate, manage, inspect, or guarantee any accommodation or property listed by a client. The client or host remains solely responsible for the accommodation service and the guest relationship.
1. Acceptance of Terms
These Terms and Conditions govern use of zipbook.org, ZipBook dashboards, onboarding flows, hosted client subdomains, booking tools, calendar tools, payment integration support, and related software services. By accessing or using ZipBook, creating an account, submitting a booking request, accepting by email or OTP, digitally acknowledging onboarding, or continuing to use the service, you accept these Terms.
2. Company and Service
ZipBook is operated by On2AI Systems, a Proprietary MSME business. ZipBook provides digital software infrastructure, hosting, website generation, booking systems, payment integration support, iCalendar synchronization, dashboard tools, and related software services.
3. No Accommodation Provider Role
ZipBook is not a travel agency, tour operator, hotel operator, accommodation provider, property manager, payment guarantor, insurer, or merchant of record for client properties. ZipBook acts only as an intermediary technology platform. Property listings, stays, services, guest handling, refunds, taxes, local compliance, and disputes are the responsibility of the relevant client or host.
4. Client Responsibilities
Clients remain solely responsible for:
- Accommodation services, property condition, guest safety, staffing, rules, and guest communication.
- Booking acceptance, rejection, cancellation, refunds, payment verification, and dispute handling.
- Taxes, GST, invoices, tourism compliance, licenses, registrations, insurance, and legal obligations.
- Accuracy and legality of listing content, prices, images, amenities, policies, reviews, and availability.
- Maintaining independent backups of operational, guest, booking, payment, and calendar data.
5. Guest Responsibilities
Guests must provide accurate information, follow the relevant property's rules, pay the correct amount where payment is required, provide valid payment references, respect occupancy limits, and communicate with the relevant host regarding stay-specific issues. A booking may not be confirmed until the host verifies payment and confirms availability.
6. Bookings and Payments
The client remains the sole merchant of record for all bookings and payments. ZipBook may provide software tools to display pricing, collect booking details, record payment references, and support payment integrations. ZipBook is not liable for payment disputes, chargebacks, booking fraud, payment fraud, failed transactions, incorrect UPI or gateway details supplied by a client, cancellation disagreements, guest disputes, or damages arising from bookings.
7. Fees, Plans, and Taxes
ZipBook may charge setup, subscription, hosting, maintenance, support, customization, or other software service fees. Unless otherwise stated, clients are responsible for applicable taxes, GST, government fees, bank charges, gateway charges, and compliance costs related to their business and bookings.
8. Acceptable Use
Users must not use ZipBook for illegal, fraudulent, abusive, misleading, infringing, unsafe, or harmful activity. Users must not attempt to disrupt the platform, bypass security, upload malicious content, misuse guest data, impersonate others, or publish false property information. ZipBook may remove content, restrict access, suspend services, or terminate accounts for suspected misuse.
9. Content and Intellectual Property
Clients are responsible for ensuring they have the rights to use all listing content, photos, marks, descriptions, reviews, and imported material. ZipBook retains rights in its software, design systems, code, platform, documentation, workflows, and related intellectual property. Clients receive only the limited right to use the platform according to their plan and these Terms.
10. Data and Backups
ZipBook may store account, booking, listing, calendar, and operational data to provide the service. Clients remain solely responsible for maintaining independent backups of operational and booking data. ZipBook does not guarantee permanent availability, recoverability, completeness, or exportability of all data in every circumstance.
11. Availability, Maintenance, and Force Majeure
Services are provided on an "as is" and "as available" basis. Service interruptions, maintenance, cyber incidents, cloud failures, internet failures, DNS issues, third-party failures, payment provider outages, calendar provider failures, or events beyond reasonable control do not create liability. Reasonable efforts will be made to restore services within approximately 24 hours wherever reasonably possible.
12. No Warranty
ZipBook makes no warranty that the platform will be uninterrupted, error-free, secure, compatible with every device, free from third-party failures, or guaranteed to increase bookings, rankings, revenue, search visibility, conversion, or occupancy.
13. Limitation of Liability
To the maximum extent permitted by law, the total liability of On2AI Systems and ZipBook for any claim shall not exceed the fees paid to ZipBook by the relevant client during the preceding three months. ZipBook shall not be liable for indirect, incidental, special, punitive, consequential, reputational, business interruption, loss of profit, loss of data, payment, guest, property, tax, regulatory, or accommodation-related damages.
14. Indemnity and Recovery of Costs
Clients agree to indemnify, defend, and reimburse On2AI Systems and ZipBook for claims, complaints, disputes, fraud allegations, payment disputes, chargebacks, negligence, illegal activities, regulatory proceedings, guest claims, property claims, litigation costs, advocate fees, settlements, penalties, investigation expenses, compliance costs, and other expenses arising from the client's conduct, listings, operations, accommodation services, taxes, payments, or legal obligations.
15. Suspension and Termination
ZipBook may suspend or terminate access without notice for non-payment, misuse, security risk, legal dispute, police complaint, fraud allegation, payment fraud, booking fraud, malpractice, regulatory issue, harmful content, or breach of these Terms. Termination does not remove payment obligations, indemnities, liability limits, or legal rights accrued before termination.
16. Privacy
Use of ZipBook is also governed by the ZipBook Privacy Policy. Clients are responsible for their own legal obligations toward guests and for using guest information lawfully.
17. Electronic Acceptance
Electronic acceptance, email confirmations, OTP verification, digital acknowledgements, continued use of services, dashboard activity, online onboarding, or other electronic records constitute legally enforceable acceptance.
18. Governing Law and Arbitration
These Terms are governed by Indian law. Disputes shall be resolved under the Arbitration and Conciliation Act, 1996. The venue shall be Thiruvananthapuram, Kerala, India, unless otherwise required by applicable law.
19. Changes to Terms
ZipBook may update these Terms from time to time. Continued use of ZipBook after updated Terms are published constitutes acceptance of the updated Terms.
